Investment Terms
Effective May 2026
These Investment Terms and Conditions ("Investment Terms") govern all private investments made by an investor ("Investor") with Steadbase Limited ("Steadbase"). They are intended to be signed by the investor in addition to the specific terms set out in your signed agreement.
1. Definitions
"Investment Amount" means the capital committed by an Investor to Steadbase under a Private Investment Agreement. "Investment Term" means a period of 12 months. "Annual Return" means the fixed 30% per annum payable on the Investment Amount. "Maturity Date" means the date on which the Investment Term concludes and repayment becomes due.
2. Eligibility
To invest with Steadbase you must be at least 18 years of age, not subject to legal restrictions or sanctions, and have completed Steadbase's KYC process.
3. KYC Requirements
Before investment, individuals must provide a valid government-issued ID, proof of address, and signed declarations. Corporate investors must provide CAC certificates and authorised signatory documents.
4. Investment Process
Steadbase will conduct a consultation, present the investment opportunity, review the Risk Disclosure, and execute the Private Investment Agreement. Funds are then transferred to the designated Steadbase corporate account.
5. Investment Term
The standard Investment Term is 12 months from the date the Investment Amount is received and confirmed by Steadbase.
6. Fixed Annual Return
Steadbase commits to paying a fixed return of 30% per annum on the Investment Amount, calculated on a simple (non-compounding) basis over the Investment Term.
7. Repayment at Maturity
On or before the Maturity Date, Steadbase will repay the Total Payout (Principal + Annual Return) to the Investor's designated bank account no later than 5 business days after the Maturity Date.
8. Early Redemption
Early redemption is not a standard feature. In exceptional circumstances, requests are reviewed by Steadbase and may be approved at our discretion.
9. Reinvestment
Reinvestment is subject to availability and the then-current investment terms offered by Steadbase. Reinvestment must be confirmed in writing.
10. Nature of Investment
The Investor acknowledges that no equity, ownership, voting rights, or profit-sharing rights in Steadbase or its operating businesses are transferred under this arrangement.
11. Default
If Steadbase fails to repay the Total Payout in full by the Maturity Date without a mutually agreed extension, it shall constitute an event of default under the Private Investment Agreement.
